End-User License Agreement (EULA) for Nesty

This EULA is between you and Harmonize Pro ("Nesty", "we", "us", or "our"), the developer and owner of the App.

The App is distributed through the Atlassian Marketplace and is subject to the Atlassian Marketplace Terms of Use and the Atlassian Customer Agreement, which also apply to your use of the App.

Subject to your compliance with this EULA and payment of all applicable fees, Nesty grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription term to:

• Install and use the App solely within your Atlassian Jira Cloud instance(s);
• Use the App for your internal business purposes only.

You may not, and you may not permit any third party to:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the App (except to the extent expressly permitted by applicable law and only after notifying Nesty);
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or any rights in it;
• Use the App to provide services to third parties (e.g., as a service bureau) unless expressly authorized in writing;
• Use the App in any way that violates Atlassian's Acceptable Use Policy or any applicable law.

The App (including all source code, object code, documentation, and updates) is licensed, not sold. Nesty retains all right, title, and interest in and to the App, including all intellectual property rights. No implied licenses are granted.

Your right to use the App is subject to payment of the fees displayed on the Atlassian Marketplace listing. Atlassian (or its payment processor) collects and remits those fees on Nesty's behalf. All fees are non-refundable except as required by law or as stated on the Marketplace listing.

Nesty may, at its sole discretion, provide updates, bug fixes, or new versions of the App. Support is provided in accordance with the support policy published on the Marketplace listing (currently email support at lewis@harmonizepro.com).

The App processes data within your Jira Cloud instance in accordance with Atlassian's Cloud security and privacy standards. Nesty acts as a processor of your data only to the extent necessary to provide the App's functionality. Our processing of personal data is governed by the Atlassian Data Processing Addendum (DPA) and our Privacy Policy available at https://harmonizepro.com/privacy.

This license is effective until terminated. Nesty may terminate or suspend your license immediately if you breach this EULA or if your Atlassian subscription ends. Upon termination, you must cease all use of the App and destroy any copies. Sections 3, 4, 7, 8, 9, 10, 11, and 12 survive termination.

You will comply with all applicable export and re-export control laws and regulations.

This EULA is governed by the laws of the State of New South Wales, Australia, without regard to conflict of law principles. Any dispute arising out of this EULA will be resolved exclusively in the courts located in Sydney, Australia.

Nesty may update this EULA from time to time. We will post the updated version at https://harmonizepro.com/eula and notify you via the Atlassian Marketplace or email. Continued use of the App after changes constitutes acceptance of the new terms.
